These General Conditions regulate the access, registration, use and contracting of the services offered on the platform located on the website www.joppy.me, app.joppy.me and the Joppy App, owned by Tres Techies, S.L. (hereinafter, Joppy).

Access and use of the Joppy platform entails full and unreserved acceptance of each and every one of the General Conditions indicated, without prejudice to the acceptance of the Particular Conditions that may be applicable.

These General Conditions may be modified without prior notice, therefore, it is advisable to read their content carefully before proceeding to access and contract the services.

Joppy, in compliance with Law 34/2002, of July 11, on Information Society Services and Electronic Commerce, informs you that:

To communicate with us, we offer you different means of contact that we detail below:

All notifications and communications between users and Joppy will be considered effective, for all purposes, when they are made through any of the means detailed above.

Services

Joppy is a job intermediation platform that puts companies from the tech industry in contact with candidates whose profile matches the requirements established in the job offers.

The groups of users who can access the platform are: Companies and Candidates.

Once inside www.joppy.me and to access the contracting of the services, the User must follow all the instructions indicated in the registration and contracting process, which will imply the reading and acceptance of all the general and specific conditions established in www.joppy.me.

For the use of Joppy by a company

1. Registration and publication of Offers

  • To start using and subsequently contracting the services of Joppy, the Company must register on the platform. The contact person or legal representative of the company must complete the form provided for this purpose and provide the required data. Once the registration is completed, the company will receive a confirmation email.
  • The Company undertakes to provide true, accurate and complete information about itself and the job offers it publishes. Joppy reserves the right to cancel the Company's account if it has reason to believe that the information provided by the company is misleading or infringes any of the conditions of use of the website set out in our Legal Notice and in these contractual clauses. Joppy reserves the right to reject or eliminate any job offer that does not comply with the requirements of our Legal Notice and these Contractual Conditions.
  • All job offers will be reviewed and validated by Joppy before publishing them on the website. Joppy has the right to pre-moderate the job offer, which includes, among others, making linguistic and content-based corrections to the text, created by the Company and adapting requirements initially requested by the company to obtain better results
  • Once the offers are published by the Company, they will be accessible to the Candidates. Once a Candidate shows interest in the Company's offer, they both can initiate a conversation on Joppy's chat or through alternative communication channels shared by the candidate. Joppy collects and processes any data and information exchanged in the chat, so it will be the exclusive responsibility of the Company and the candidate to ensure that they do not disclose confidential or sensitive information of both parties.
  • In each Job Offer, Joppy offers the Company the possibility of making public the gross salary of the position. Joppy reserves the right to make it public even if the Company has not accepted this option, if the salary is visible on another public page (company job page, Linkedin, etc.). In this case, Joppy does not have to inform the Company and has the right to publish the gross salary of the Job Offer to the Candidates.
  • If a company does not evaluate a shared Candidate within 7 working days from the time we communicate the Candidate's application to the job offer, Joppy reserves the right to remove that candidate from the offer in question and prevent the company from accessing it.
  • Joppy reserves the right to pause or close the Company's offer when the volume of registered candidates is very high and the company has not reviewed any candidate within an acceptable period of time.
  • Candidate profiles and applications are confidential. The Company can not share the candidate's contact details or profile to third parties. The Company shall be solely responsible for any damages and losses caused to the candidates, Joppy or both by the unauthorized disclosure of their personal data. We treat the information provided by Companies and Candidates in accordance with the provisions of our Privacy Policy.
  • Joppy reserves the right to use the Company's name and logo or activity (e.g. published offer, successful hiring of a Candidate) for public communication with our users and/or followers on social media and any other marketing activity on any channel with the aim of increasing awareness or exposure of the Joppy brand to get more candidates to the platform. If the Company does not agree partially or fully with elements of this clause, please send an email to [email protected] and we will analyze your request.
  • The Company authorizes Joppy to publish its offers on other sites that the platform considers relevant to attract relevant candidates to the job offers. The costs of these publications on other websites will be borne by Joppy

2. Terms of payment for services

  • Access to the platform by Companies, their registration and publication of offers is initially free, although Joppy reserves the right to establish the payment of a fee:
    • 15 euros per interested candidate labelled as "Good Match" when a Company exceeds 20 candidates (labelled "Good Match" or "To Check") among any published offer and the absence of hiring is extended beyond 2 months from the publication of the first offer of the company. Joppy will refund the last 3 monthly invoices for paid Candidate when a hire is made on the platform. These amounts will be invoiced on the 5th days of the following month with payment terms of 30 days from the invoice date.
    • or a payment of 1,000 euros to continue using the Joppy platform if the company has received more than 30 candidates (with a Good or To Check label) among any published offer and the absence of hiring extends beyond 2 months from the publication of the company's first offer
    • This clause will be void if the Company has had 1 hiring in the last ten (10) months prior to this situation
  • When a candidate accepts an offer made by the Company, the Company must notify Joppy within 5 business days, informing of the start date of the contract and the agreed annual gross salary (fixed salary + any variable or bonus). Joppy may request documentary proof from the Company of the conditions agreed with the candidate. You may inform us either by sending an email to [email protected] or by clicking the "hire" button within the platform and filling in all the requested data.
  • For each candidate provided by Joppy, hired in the twelve (12) months following the Candidate's application date, the Company will pay Joppy the corresponding recruitment fee, according to the chosen plan (Standard plan or Hiring as a Service)", calculated on the agreed gross annual salary. In the event that the company does not provide Joppy with or prove the agreed gross annual salary figure, Joppy will invoice based on the maximum salary range included in the job offer.
  • After 30 days from the date on which the candidate has accepted the company's job offer, without the company having notified Joppy, the Recruitment Fee to be applied to the gross annual salary will be multiplied by 2. Joppy will invoice this recruitment fee to the Company.
  • A Candidate is considered facilitated by Joppy within 12 months of receiving his/her application/match on the platform when at least one of the following occurs: (a) The Company became aware of the Candidate's profile on Joppy, regardless of the job position for which he/she is recruiting or regardless of whether or not they had made contact; (b) The Candidate is referred to the company's career page/ATS from Joppy (c) The Candidate confirms that he/she became aware of the job position through Joppy, even if he/she applied for it (or contacted the Company) through an alternative channel.
  • Joppy will not charge you a recruitment fee if the Company provides written proof that it had approached (or been approached by) the Candidate, and the conversation had been answered positively, in the two months prior to the date on which the Company became aware of the Candidate's profile on Joppy. The company will have seven (7) days from the date of Candidate's application to inform Joppy by email of this issue. If this is not the case, it will be understood that the user is from Joppy.

3. Plans and Prices

Once the candidate has been selected and before proceeding to hire him/her, the Company may choose between one of the two service and payment modalities. Once the Plan has been chosen, it cannot be modified until a new hire takes place.

The description of the Plans, their characteristics and the prices of each one are described on the website.

Two types of Plans are offered:

3.1 Hiring as a Service (HaaS)

This service is charged through the concept of Monthly Fee, which is detailed below:

  • 1.25% of the candidate's annual gross salary (fixed + variable) is billed monthly for 12 months.
  • Billing begins on the candidate's start date and recurs monthly on the same date. If the candidate is in the company for any part of the billing month, the full installment will be invoiced.
  • Payment is made via authorized direct debit or SEPA direct debit.
  • Billing stops if the candidate leaves the company within the 12-month period.

How the Guarantee Works:

If the candidate leaves the company during the 12 months following the date of start, the guarantee is activated. In that case, the monthly charge will stop from the date of departure (last day in the company) and the company will have 3 months to find a replacement from the date of departure. When the replacement enters, the Monthly Fee will be charged again from the month that the initial candidate left the company to reach 12 monthly payments with a minimum of 3 monthly payments.

Activating the guarantee clause from the 4th month after hiring the candidate will automatically result in an extension of 3 additional months (being 15 monthly payments instead of the usual 12), as a result of which the monthly payment of the monthly fee will be from the first month of hiring until the 15th month.

3.2 Standard Plan (Talent Platform)

9.5% of the annual gross salary (fixed salary + any variable or bonus) is charged. Three months of guarantee are offered.

If the Company decides not to retain the newly hired Candidate (for reasons strictly associated with the Candidate) or if the hired Candidate leaves the Company within a 90-day guarantee period after their start date, Joppy will give the Company a 60-day period to find a new Candidate at no additional cost (this will apply to any Candidate who matches the job offer during this period, even if the hire closes after the period has ended). However, Joppy will not issue any refunds. This guarantee period will only be accepted once per job offer.

The 60-day period will begin when the Company reopens the job offer (or publishes a new offer for the same role). The Company has 15 days from the time the candidate left the Company to reopen or publish the job offer.

The invoice for the Standard plan will in any case have a minimum amount of 1,900 euros (taxes not included), regardless of the agreed gross salary or the promotion applied.

3.3 Aspects common to both plans

  • The guarantee will be executed in relation to the same profile, same role and with the same technical characteristics and with the technical and temporary specifications in order to guarantee the correct "replacement". The guarantee will only work once per role. If the candidate selected in the guarantee has a higher salary than the candidate initially contracted, Joppy will charge the difference between both salaries in both contract models.
  • Taxes: VAT is not included in the prices, the corresponding rate will be applied at the time of billing.
  • Payment term of the invoice: The Hiring Fee (Standard Fee or Monthly Fee) will be invoiced when the Company notifies Joppy that the Candidate accepts the offer. And the Payment Date will be the day after the first day of work of the hired Candidate, regardless of whether the Candidate starts on a trial period, as a contracted employee, as a freelance collaborator or as a full-time contracted employee; If the Candidate after accepting the offer and before starting at the Company decides not to join the company, the Company will notify Joppy and Joppy will issue a rectification invoice and cancel the collection of the Hiring Fee.
  • In the event that payment is delayed for more than 14 calendar days, the Hiring Fee will increase by 2%pp in both price models.
  • If the Company has a supplier validation process that Joppy must go through before being able to issue an invoice, the Company is obliged to communicate this to Joppy before publishing its 1st offer. If for reasons related to the supplier validation process, or any other reason linked exclusively to the Company and not related to Joppy, the issuance of the invoice is delayed beyond 14 calendar days from the day the Company confirms that the Candidate has accepted the offer, Joppy will amend the invoice with a Contracting Fee of 11.5% instead of the original 9.5%. If for these same reasons the invoice is delayed beyond 30 days, Joppy will amend the invoice with a 15% Contracting Fee.
  • Joppy reserves the right to apply promotions for new clients.
  • Joppy reserves the right to modify the prices of the services at any time. The price to be applied will be the one in effect at the time of contracting.

3.4 Payment Methods

We offer three payment methods to companies depending on the type of concept:

Monthly Fee:

  • SEPA direct debit
  • Automatic debit authorized with payment gateway

Standard Fee:

  • Bank transfer

4. Account Cancellation

The Company may terminate the relationship with Joppy at any time. In the event that the Company cancels the account and has outstanding monthly payments of the Hiring as a Service model, these will be settled as agreed. The Company will maintain the payment obligations even if it decides to terminate the relationship with Joppy.

Joppy may cancel the Company's account when:

  • The Company does not inform users about the status of the process in an offer within 2 weeks of them signing up for the offer.
  • Non-payment of the Contract Fee.
  • Non-compliance with any of the stipulations included in these Contractual Conditions.
  • Any other matter that in Joppy's opinion is not an adequate condition to keep the company's account open.

Joppy must inform the Company by email at least 2 working days in advance before proceeding to cancel the account.

Likewise, Joppy reserves the right to pause the Company's offer(s) for any reason with 2 working days' notice.

5. Responsibility and exemption from liability

Joppy aims to guarantee the viability of the service and the proper functioning of the platform, however, it will not be responsible for interruptions or disconnections in the network or for misuse in the access and use of the website, as stated in our Legal Notice.

Joppy is a mere intermediary in the supply and demand of employment, and therefore does not assume any responsibility in the execution of the employment relationship that is established between the Company and the candidate as a result of the use of the platform.

Joppy is not responsible for the information provided by companies and candidates in their profiles nor does it guarantee that the candidate selected by the Company is suitable for the job offered.

The Company undertakes to hold Joppy harmless from any dispute that arises between the Company and the candidate.

For the use of Joppy by a candidate

1. Joppy service

1.1 Joppy enables you to anonymously and secretly participate in the job market, on your own terms and without compromising your current job. For that purpose you can create your own anonymous profile which shall include basic information about your experience and expectations for the possible new job ("Anonymous Profile"). You are also welcome to use our service in case you are currently unemployed and looking to get hired. Once your Anonymous Profile is created you can add your private information ("Private Profile").

1.2 Joppy uses an algorithm which will match your profile with suitable job offers posted by Companies. You will be presented only on such job offers, which requirements match with the information provided in your profile. If you are interested in any job offer presented to you by Joppy then expose your interest by clicking the "accept" button.

1.3 Once you have exposed your interest in a job offer, you enable Company whose job offer attract your interest to start a conversation with you. You can start the conversation too. By starting a conversation your Anonymous Profile shall be disclosed to the Company who has published the respective job offer. Up until then your information provided in your profile shall not be available to the Company. For avoidance of doubt, without the consent of the Candidate (i.e. Candidate changing "Private Profile" visibility settings to "Public" for a particular company or globally) the Company does not have the opportunity to visualize the profile of the Candidate nor find out more about the Candidate that provided on Joppy platform.

1.4 Candidates can disclose their Private Profile to Companies (1) per Company basis once accepted a job offer from the Company (2) globally to all Companies by setting their Private Profile visibility setting to "Public" within the Website.

2. Using the service

2.1 In order to use Joppy service, you shall create your own profile which shall contain the information about your experience and expectations for the possible new job. In creating the profile, you do not have to disclose your name. By default, you will be anonymous in using Joppy service.

2.2 Before the registration process has completed, you will be asked to accept these Terms of Service. By doing so, you confirm that any registration information submitted by you is true, accurate and complete, and you agree to use the Joppy service in compliance with these Terms of Service. For avoidance of doubt, you are able to use the App and Joppy service only if you have accepted the Terms of Service. If you do not accept these Terms of Service, then your account registration shall be declined and your data thereof shall be deleted.

2.3 Minors under 16 can not use the Services. To create your Joppy account, use the Services and enter into the Terms, you agree that: (1) you must have at least 16 years old and have active legal capacity; (2) you will only have one (1) Joppy account; and (3) Joppy has not restricted you from using the Services. The creation of an account with false information constitutes a violation of our Terms; this also applies to accounts registered on behalf of other persons or used by persons under 16 years of age.

2.4 You will be able to edit your profile information at any point, adding or removing any information. While using the Joppy service you shall provide accurate, complete, true and up-to-date information. Joppy reserves the right to restrict your ability to use Joppy, if we have a reason to believe that editing your profile is lead from unethical or unfair purpose, information provided by you is misleading, inappropriate or unsuitable.

2.5 If you want to know more of the job offer or the Company regarding to which you have exposed your interest, then you can either chat anonymously, share your contacts or Linkedin profile in Joppy chatroom. Please be informed that Joppy is participating in any conversation held in Joppy chatroom. Thus, if you decide to share your contacts, Linkedin profile or any other personal data, then such data shall become known also to Joppy. Joppy recommends you to stay anonymous and not to disclose any personal data in Joppy chatroom. Joppy is collecting and processing any data exchanged by parties in the Joppy chatroom. It is your sole responsibility to ensure that you do not submit business secrets, know-how, confidential or other type of sensitive or valuable information via Joppy chatroom. Joppy will not disclose information received from Candidates and Companies to third parties but Joppy shall not be under any confidentiality obligation nor bear any liability for the loss, damage or negligent transmission of your valuable information transmitted by the chatroom the 2.6. Joppy reserves the right to modify, without prior notice, the design, presentation and / or configuration of these Websites, as well as some or all of the services, and to add new services.

2.6 Joppy may offer a reward to Candidates hired from a Company according to the rule 5.5.4 or 5.5.8 from Company's Terms sections, when rule 5.5.6 from Company's Terms does not apply and when the Candidate accepted the Job position after May 27th, 2019. To be entitled to a Reward, the Candidate has to notify Joppy about his hire within 60 days from the Start Day of Candidate at the new job. 2.7. Joppy reserves the right to modify, without prior notice, the design, presentation and / or configuration of these Websites, as well as some or all of the services, and to add new services.

2.8 We reserve the right to update, amend or replace any part of Terms of Service on the basis of objective reason. In case of any update to the Terms of Service, Joppy will notify you via App or by posting revised terms on our website. Unless you delete your account within ten (10) days, the new terms will be effective immediately and apply to any continued or new use of our services.

2.9 Creating an account and using the services for Candidates is free of charge on Joppy Websites. So, it is free to apply to the job offers as well as contacting by chatroom with the Companies.

3. Privacy

3.1 In order to provide you with the Joppy service, we shall collect and process personal data related to you as provided in our Privacy Policy.

3.2 Any collection, use or information shared in relation to your personal data will be subject to this Privacy Policy and its updates. Likewise, you agree with us that we may access, store, process and use any information and personal data that you provide in accordance with the terms of the Privacy Policy.

4. Termination and deletion of your account

4.1 These Terms Service shall remain in effect until terminated as set forth herein.

4.2 You have the right to delete your account at any time (no prior notification needed), by following the instructions on the Website or by request by e-mail sent to [email protected] . Upon doing so our legal relationship is deemed to be terminated.

4.3 We have the right to terminate the legal relationship with immediate effect, by deleting your account, if you (i) have provided morally inappropriate, fraudulent, misleading or inaccurate information (ii) are not eligible or authorized to use Joppy service or (iii) have materially violated any requirement stipulated in these Terms Service and have not remedied such violation (provided a remedy is possible and reasonable according to our opinion) within the term given by us.

4.4 After the deletion of your account your data will be deleted and you will not be granted your data previously stored within the Joppy platform.

5. Liability

5.1 Joppy service and any content, or services or features made available in conjunction with or through the App is provided "as is" and "as available" without any warranties of any kind either express or implied. To the fullest extent permissible pursuant to applicable law, we disclaim all warranties. We do not provide any guarantees to you regarding the Joppy service and/or the App. In particular, we shall not be responsible for the following:

5.1.1 any interruption, discontinuance, suspension or other type of unavailability of the App or Joppy service;

5.1.2 any interruption or cessation of transmission to or from the App or Joppy service;

5.1.3 any bugs, viruses, Trojan horses or the like, which may be transmitted to or through the App or Joppy service;

5.1.4 deletion of, corruption of, or failure to store any content or data;

5.1.5 the incompatibility of technologies used for accessing the App or Joppy service.

5.2 Joppy does not mediate any employment contract nor bear liability for legal relations created by you or the Company as a result of using Joppy service. The terms of employment and any contractual arrangements shall be negotiated and agreed upon between you and the Company directly. For avoidance of doubt, Joppy does not have control nor affiliations with any Company and is not liable for any behaviour, responses or actions of any Company. Joppy does not warrant, represent or guarantee that the information provided any Company is true and accurate.

5.3 Joppy does not warrant, represent or guarantee that you will be able to find any job, position or offer by using the Joppy service and/or the App.

5.4 All content (including, but not limited to text, graphics, articles, photographs, images, illustrations) publicly posted or privately transmitted through the service is the sole responsibility of the person from which such content originated and that Joppy will not be liable for any errors or omissions in any content. You understand that Joppy cannot guarantee the identity of any users with whom you may interact in the course of using the service. Additionally, Joppy cannot guarantee the authenticity of any data which users may provide about themselves. You acknowledge that all content accessed by you using the service is at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom.

5.5 Under no circumstances will Joppy be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred in connection with use of or exposure to any content posted, emailed, accessed, transmitted, or otherwise made available via the service.

6. Applicable law and jurisdiction

6.1 The Website is governed by Spanish law. Any dispute arising or any claim related to the content and services of this website shall be resolved only in Barcelona (Spain), as this will be the jurisdiction of the competent court, and you expressly waive your own forum or any other that may apply to you.
